Terms of Service

Version 1.0 · Effective 28 October 2026

1. Who we are and what these terms are

These terms are an agreement between you and PeraLabs Ltd, trading as Rysh AI, a company registered in England and Wales under number 12905271, with its registered office at 124 City Road, London, United Kingdom, EC1V 2NX ("rysh", "we", "us"). Contact: info@rysh.ai.

By creating an account, ticking the acceptance box, or using the Service, you agree to these terms. If you do not agree, do not use the Service.

2. What these terms cover

They cover:

They do not cover:

Services we deliver under a signed Statement of Work ("SOW") are also governed by that SOW. If the SOW conflicts with these terms, the SOW prevails for those services only.

3. Business use only

The Service is for businesses. You confirm that you use it for your trade, business or profession and not as a consumer. If you accept these terms for an organisation, you confirm you have authority to bind it, and "you" means that organisation.

4. Accounts

5. Plans, fees and payment

  1. Plans and prices are those shown at rysh.ai/pricing or in your order or SOW.
  2. Fees are charged in advance through our payment processor, Stripe, in the currency shown at checkout or on your order, invoice or SOW. They are exclusive of VAT and other taxes, which we add where they apply.
  3. Subscriptions renew automatically for the same period unless you cancel before the renewal date (Billing → Manage, or by email to info@rysh.ai).
  4. We may change prices for future periods on at least 30 days' notice. If you do not accept a change, cancel before it takes effect. A locked "founding" price stays for as long as the subscription stays continuously active.
  5. Usage-based charges (for example phone numbers and minutes, charged at our provider's cost plus 30%) are invoiced in arrears.
  6. Invoices are payable within 14 days unless your order says otherwise. If you do not pay by the due date we may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998, and, after 14 days' written notice, suspend the Service until you pay.
  7. If you dispute an invoice in good faith, tell us within 14 days of the invoice date and pay the undisputed part meanwhile.

6. Refunds

Refunds are governed by the Refund Policy at rysh.ai/refunds, which forms part of these terms.

7. Your content and your data

  1. You keep all rights in the content, data, code, prompts, policies and configurations you put into the Service ("Your Content").
  2. You give us a non-exclusive licence to host, process, copy and transmit Your Content only to provide, secure and support the Service to you.
  3. We do not use Your Content to train AI models ourselves. When you use AI features, Your Content is sent to the model provider you or your plan configure, and that provider's own terms govern what it does with it (see clause 9.4).
  4. You promise that you have the rights needed to put Your Content into the Service and that doing so will not infringe anyone's rights or break the law.
  5. Where we process personal data on your behalf, our Data Processing Addendum at rysh.ai/dpa applies and forms part of these terms. Otherwise personal data is handled under our Privacy Policy at rysh.ai/privacy.

8. Our rights

The Service, its software, designs and documentation, and all intellectual property in them, belong to us or our licensors. You get a limited, non-exclusive, non-transferable right to use the Service during your subscription, for your internal business purposes. If you give us feedback, we may use it without restriction or payment.

9. AI agents and third-party providers

  1. The Service lets you run AI agents that act on your instructions and connect to third-party providers you choose, such as model providers, Stripe, Slack, email and phone providers.
  2. You decide what agents may do, including approval settings and policies, and you are responsible for their actions in your systems and accounts.
  3. AI output can be wrong, incomplete or out of date. Review it before relying on it. We do not guarantee the accuracy of any AI output.
  4. Your use of a third-party provider is governed by that provider's terms. You pay its fees directly unless your plan says otherwise. We are not responsible for third-party services we do not operate.

10. Acceptable use

You must not use the Service to:

We may suspend use that breaches this section, giving notice where practical.

11. AI-native companies, websites, email and phone

  1. Web addresses (<name>.dns.rysh.ai) are allocated to you while your subscription is active. They cannot be changed once allocated. When a company is closed, its address is held in quarantine for 180 days and is not reassigned in that time.
  2. Phone numbers are rented from our provider for you and require the provider's identity and address checks. The number terms shown at purchase, including the port-out grace period, apply.
  3. You are responsible for the content of your website and messages, and for your own customers' orders, payments, refunds and consumer obligations. Payments for orders on your site go to your Stripe account.

12. Availability and support

We aim to keep the Service available but do not promise uninterrupted or error-free service. We may carry out maintenance, with notice where practical. A service-level commitment applies only if a signed order says so. Support is by email to info@rysh.ai on business days (Monday to Friday, excluding public holidays in England).

13. Suspension and termination

  1. You may cancel at any time. Paid access continues to the end of the paid period, subject to the Refund Policy.
  2. Either of us may end these terms by written notice if the other commits a material breach and does not fix it within 14 days of notice (or straight away if it cannot be fixed), or becomes insolvent.
  3. We may suspend or end your access immediately where the law requires it, or to protect the Service or other customers.
  4. After termination you may export Your Content for 30 days. We then delete it in line with the retention periods in our Privacy Policy. Sections 5 (unpaid fees), 7.4, 8, 14, 15, 17 and 18 survive termination.

14. Liability

  1. Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
  2. Subject to clause 14.1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for: loss of profit, revenue, business, goodwill or anticipated savings; loss or corruption of data (beyond our duty to restore from our latest backup); or any indirect or consequential loss.
  3. Subject to clause 14.1, our total liability to you arising under or in connection with these terms in any 12-month period starting on the effective date or an anniversary of it is limited to the greater of (a) the fees you paid and owe us for the Service in that period and (b) £1,000.
  4. For services delivered under an SOW, the SOW may set its own limit; if it does not, clause 14.3 applies.
  5. You are responsible for the content you put into the Service and the actions of agents you run. You will compensate us for losses, claims and costs we suffer from a third party's claim that Your Content, or your use of the Service in breach of these terms, infringes their rights or breaks the law.
  6. We provide the Service with reasonable skill and care. Except as expressly set out here, all warranties and conditions implied by law are excluded to the fullest extent permitted.

15. Changes to these terms

We may update these terms. We will give at least 30 days' notice of material changes by email or in the Service. If you do not accept them, you may cancel before they take effect; continued use afterwards means acceptance. Changes never apply retroactively to a dispute that has already begun.

16. Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for these terms, and not disclose it except to staff and advisers who need it and are bound to confidentiality, or as the law requires.

17. General

18. Law and disputes

These terms, and any dispute or claim (including non-contractual ones) arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
